These Terms of Service govern your access to and use of the Blueberries platform. By using our Service, you agree to be bound by these Terms. Please read them carefully.
Blueberries, Inc. is committed to providing a secure, reliable, and compliant financial analytics platform. These Terms outline the rights and responsibilities of both parties to ensure a fair and transparent relationship.
1. Acceptance of Terms
By accessing or using the Blueberries platform ("Service"), you ("User" or "Customer") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Blueberries provides a cloud-native financial analytics and planning platform that enables businesses to aggregate, visualize, and analyze financial data. The Service is hosted on Amazon Web Services (AWS) and delivered via web interface.
3. Account Registration and Security
3.1 You must provide accurate and complete information when creating an account.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 You agree to notify Blueberries immediately at security@blueberries.app upon becoming aware of any unauthorized access or use of your account.
3.4 Blueberries enforces multi-factor authentication (MFA) and role-based access controls as part of its security posture. You agree to comply with any access control requirements communicated to you.
4. Acceptable Use
You agree not to:
4.1 Use the Service for any unlawful purpose or in violation of any applicable regulation, including financial regulations.
4.2 Attempt to gain unauthorized access to any system, network, or data.
4.3 Upload or transmit malicious code, malware, or any content designed to disrupt, damage, or interfere with the Service.
4.4 Reverse engineer, decompile, or disassemble any component of the Service.
4.5 Use the Service to store or transmit data in violation of applicable privacy laws, including GDPR and CCPA.
4.6 Share account credentials with unauthorized individuals.
4.7 Attempt to circumvent or disable any security controls implemented by Blueberries.
5. Data and Privacy
5.1 Your Data. You retain all rights to the data you submit to the Service ("Customer Data"). Blueberries does not claim ownership of Customer Data.
5.2 Data Processing. By using the Service, you authorize Blueberries to process Customer Data solely to provide and improve the Service as described in our Privacy Policy.
5.3 Data Security. Blueberries implements and maintains industry-standard administrative, technical, and physical safeguards to protect Customer Data. These measures include but are not limited to: encryption in transit and at rest, access logging via AWS CloudTrail, VPC network isolation, and continuous monitoring.
5.4 Data Retention and Deletion. Upon termination of your account, Customer Data will be retained for 30 days and then securely deleted in accordance with our Data Deletion Policy. You may request earlier deletion by contacting support@blueberries.app.
5.5 Privacy Policy. Use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
6. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information solely for the purpose of performing obligations under these Terms. This obligation survives termination.
7. Service Availability and Uptime
7.1 Blueberries will use commercially reasonable efforts to ensure the Service is available 99.5% of the time, excluding scheduled maintenance windows and events outside Blueberries' reasonable control.
7.2 Blueberries will provide advance notice of scheduled maintenance where practicable.
7.3 Blueberries is not liable for downtime caused by third-party service providers, including AWS infrastructure outages.
8. Intellectual Property
8.1 Blueberries retains all rights, title, and interest in and to the Service, including all software, designs, trademarks, and documentation.
8.2 Subject to your compliance with these Terms, Blueberries grants you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term.
8.3 Feedback or suggestions you provide regarding the Service may be used by Blueberries without any obligation to you.
9. Payment and Subscriptions
9.1 Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected.
9.2 All fees are non-refundable except as required by applicable law or as explicitly stated in a separate written agreement.
9.3 Blueberries reserves the right to modify pricing upon 30 days' written notice. Continued use of the Service after the notice period constitutes acceptance of the updated pricing.
9.4 Failure to pay fees may result in suspension or termination of access to the Service.
10. Suspension and Termination
10.1 Blueberries may suspend or terminate your access to the Service immediately if you breach these Terms, engage in fraudulent activity, or create a security risk.
10.2 You may terminate your account at any time by providing written notice to support@blueberries.app.
10.3 Upon termination, your right to access the Service ceases immediately. Sections 5, 6, 8, 11, 12, and 13 survive termination.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available." Blueberries disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Blueberries does not warrant that the Service will be error-free or uninterrupted.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Blueberries shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such damages. Blueberries' total cumulative liability to you shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
14. Compliance and Audit Rights
14.1 Blueberries maintains a SOC 2 Type II compliance program and undergoes periodic third-party audits. Customers may request a copy of the audit report summary under a mutual NDA.
14.2 You agree to use the Service in compliance with all applicable laws and regulations, including data protection, financial services, and export control laws.
15. Incident Notification
In the event of a confirmed security incident affecting your Customer Data, Blueberries will notify you without undue delay and no later than 72 hours after becoming aware of the incident, in accordance with applicable breach notification requirements.
16. Changes to Terms
Blueberries reserves the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.
